NDS Group has announced it has been given unconditional clearance by the European Commission to take the company private.
Under the proposals two funds advised by Permira Advisers will acquire outstanding NDS Series A shares at $63 each, valuing the deal at $3.6 billion.
NDS shareholders will vote on the transaction on January 13, 2009, after which Permira and News Corporation would own 51% and 49% of NDS, respectively.
