The future of Kathrein Digital Systems has been secured after Megasat agreed to take over the business as a strategic investor.
The investor agreement between Megasat and insolvency administrator Michael Verken of restructuring specialist Anchor was notarised on 17 December 2025, following a structured investor process. The transaction is being implemented via an insolvency plan, with the formal transfer of shares and the lifting of insolvency proceedings scheduled to be completed by the end of February 2026.
Kathrein Digital Systems, which specialises in digital reception and signal distribution technologies across satellite, terrestrial, cable and IP networks, filed for insolvency in August 2025. Despite this, the company’s operations continued without interruption throughout the proceedings. Supply to electrical wholesalers and specialist installers was maintained via its central logistics hub in Ulm, while customer service and technical support remained fully available.
Insolvency administrator Michael Verken said the agreement represented a decisive milestone for the preservation of the business. He noted that Megasat was a long-term-oriented investor with deep industry expertise and described the uninterrupted continuation of operations as evidence of Kathrein’s market relevance and operational resilience.
Kathrein Digital Systems emerged in 2019 from the satellite business unit of Kathrein SE but has since faced sustained market pressure. The company cited weak construction activity and a generally shrinking wholesale market as key factors behind its financial difficulties. While it was able to gain market share following the withdrawal of some competitors, this was not sufficient to offset the overall decline in demand.
The investor search was supported by Bachert Unternehmensberatung, with several potential buyers assessed during the insolvency proceedings. Negotiations with Megasat ultimately proved the most viable option. The companies see strategic synergies in combining Kathrein’s strength in complex signal distribution and professional project business with Megasat’s established consumer electronics portfolio and its growing presence in the camping and outdoor segment.
Megasat managing director Sven Melzer said the company believed strongly in the Kathrein brand and its technological expertise, adding that pooling capabilities across both businesses would help create a more resilient foundation for future growth.
Kathrein Digital Systems supplies reception and distribution systems for residential buildings, hotels, hospitals and caravans, with sales focused primarily on the electrical wholesale channel. Megasat, based in Bavaria, has been active in the European consumer electronics market for more than two decades, with product lines spanning home satellite reception and mobile solutions for leisure and travel.
