Vivendi has signalled its intention to vote down plans by Mediaset to restructure itself through a new Dutch holding company.
The Italian media giant wants to first merge its assets with those of its Spanish affiliate as the initial steps towards creating a European entity that other broadcasters would be invited to join.
Its advisor ISS is also against the scheme.
Vivendi, which has made plain its opposition to the Mediaset strategy, owns 19% in the company.
The vote is scheduled to take place on September 4.
